Introduction
Welcome to the InsightfulPipe Affiliate Program. These Affiliate Program Terms and Conditions (“Affiliate Terms”) govern your participation in the InsightfulPipe Affiliate Program (“Program”). By applying to or participating in the Program, you agree to be bound by these Affiliate Terms, as well as our general Terms of Service and Privacy Policy, which are incorporated herein by reference.
InsightfulPipe (“Company,” “we,” “us,” or “our”) reserves the right to modify these Affiliate Terms at any time. We will notify you of material changes via email or through the affiliate dashboard. Your continued participation in the Program after such notification constitutes acceptance of the updated terms.
1. Program Enrollment
Application: To join the Program, you must complete our affiliate registration. Our Program is public and new affiliates are automatically approved and can start promoting immediately.
Eligibility: You must be at least 18 years old and have the legal capacity to enter into binding agreements. You must provide accurate and complete information during registration and keep your account information up to date.
Account: Upon registration, you will receive immediate access to our affiliate dashboard where you can obtain your unique referral links, create coupon codes, track performance, and view commission reports.
2. Affiliate Benefits and Access
Free Platform Access: As an active affiliate partner, you receive full free access to InsightfulPipe's platform and all its features. This benefit is provided to help you understand our product and create authentic, informed promotional content.
Activity Requirements: To maintain your free access, you must remain an active affiliate. An affiliate is considered active if they:
- Generate at least one (1) qualifying referral or sale within any 90-day period, AND
- Create and publish at least one (1) promotional video per month featuring InsightfulPipe
Access Review: We reserve the right to review affiliate accounts periodically. If an affiliate has not generated any referrals, sales, or meaningful promotional activity within 90 days, we may:
- Send a reminder notice requesting increased promotional efforts
- Downgrade or revoke free platform access
- Convert the account to a standard paid subscription if continued access is desired
- Terminate the affiliate partnership
Reinstatement: Former affiliates whose access was revoked due to inactivity may reapply to the Program. Reinstatement of free access is at our sole discretion and may require demonstration of a viable promotional plan.
3. Commission Structure
Commission Rate: Affiliates earn 35% commission on every qualifying sale made by referred customers. This rate applies to all subscription plans and may be updated from time to time with prior notice.
Qualifying Purchases: A qualifying purchase is a completed transaction by a new customer who clicked your affiliate link within the attribution window, successfully completed payment, and did not request a refund within the refund eligibility period.
Attribution Window: Referrals are tracked using cookies with a 30-day attribution window. If a referred user makes a purchase within 30 days of clicking your affiliate link, you will receive credit for the sale. We use last-touch attribution, meaning credit goes to the most recent referrer.
Recurring Commissions: For subscription-based products, you may be eligible for recurring commissions as long as the referred customer maintains an active subscription, subject to the terms displayed in your affiliate dashboard.
4. Payment Terms
Currency: All affiliate commissions are calculated and paid out in USD. Sales in other currencies are automatically converted to USD.
Minimum Payout: Commissions are paid once your account balance reaches the minimum payout threshold of $30 USD. Balances below this threshold will roll over to the next payment period.
Payment Schedule: Payments are processed monthly, subject to the holding period described below.
Holding Period: Commissions are held for 30 days after the qualifying purchase to account for potential refunds or chargebacks. If a refund is issued during this period, the associated commission will be reversed.
Payment Methods: Payment methods are available in your affiliate dashboard. You are responsible for providing accurate payment information and any fees associated with receiving payments.
Taxes: You are solely responsible for all taxes, duties, and other governmental assessments related to your participation in the Program. We may require tax documentation (such as a W-9 or W-8BEN) before processing payments.
5. Promotional Guidelines
As an affiliate, you agree to promote InsightfulPipe in a professional and ethical manner. You must:
- Clearly disclose your affiliate relationship in accordance with FTC guidelines and applicable laws
- Use only approved marketing materials or create original content that accurately represents our products
- Not make false, misleading, or exaggerated claims about InsightfulPipe or its products
- Not use spam, unsolicited emails, or any deceptive practices to generate referrals
- Not bid on our branded keywords (including “InsightfulPipe” and variations) in paid search campaigns
- Not use cookie stuffing, ad injection, or any fraudulent tracking methods
- Not create websites or content that could be confused with official InsightfulPipe properties
We reserve the right to review your promotional methods and request changes or removal of any content that violates these guidelines.
6. Intellectual Property
Limited License: We grant you a limited, non-exclusive, non-transferable license to use InsightfulPipe trademarks, logos, and approved marketing materials solely for the purpose of promoting InsightfulPipe as part of this Program.
Restrictions: You may not modify, alter, or create derivative works of our intellectual property. You may not use our trademarks in any way that suggests endorsement, sponsorship, or affiliation beyond the affiliate relationship.
Termination of License: This license terminates immediately upon your exit from the Program. You must cease all use of our intellectual property within 5 business days of termination.
7. Prohibited Activities
The following activities are strictly prohibited and may result in immediate termination and forfeiture of commissions:
- Self-referrals or referring your own accounts
- Fraudulent transactions or artificially inflating clicks, impressions, or conversions
- Using automated bots, scripts, or other artificial means to generate traffic or referrals
- Promoting InsightfulPipe on websites containing illegal, harmful, defamatory, or adult content
- Violating any applicable laws, regulations, or third-party rights
- Incentivizing clicks or sign-ups through misleading offers or rewards unrelated to InsightfulPipe
- Purchasing or using domain names that include InsightfulPipe trademarks or confusingly similar variations
8. Term and Termination
Term: These Affiliate Terms remain in effect until terminated by either party.
Termination by You: You may terminate your participation at any time by providing written notice to us via email or through the affiliate dashboard.
Termination by Us: We may terminate your participation at any time, with or without cause, by providing notice to the email address associated with your affiliate account. We may terminate immediately without notice if you breach these Affiliate Terms.
Effect of Termination: Upon termination, you must immediately cease all promotional activities and remove all affiliate links. Pending commissions that have passed the holding period and meet the minimum payout threshold will be paid in the next regular payment cycle. Unpaid commissions below the minimum threshold or within the holding period may be forfeited.
9. Confidentiality
You agree to keep confidential all non-public information provided to you as part of the Program, including commission rates, conversion data, and any proprietary marketing strategies or materials. This obligation survives termination of these Affiliate Terms.
10. Disclaimer of Warranties
The Program is provided “AS IS” and “AS AVAILABLE.” We make no warranties, express or implied, regarding the Program, including but not limited to the availability of products, accuracy of tracking, or the amount of commissions you may earn. We do not guarantee any level of income or success in the Program.
11. Limitation of Liability
To the maximum extent permitted by law, InsightfulPipe shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Program. Our total liability to you for any claims arising from the Program shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless InsightfulPipe and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your participation in the Program, your promotional activities, or your breach of these Affiliate Terms.
13. Independent Contractor Relationship
You are an independent contractor, not an employee, partner, or agent of InsightfulPipe. Nothing in these Affiliate Terms creates an employment, partnership, joint venture, or agency relationship. You have no authority to bind InsightfulPipe or make any representations on our behalf except as expressly authorized in writing.
14. Governing Law and Disputes
These Affiliate Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under or in connection with these Affiliate Terms shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.
15. Modifications to the Program
We reserve the right to modify any aspect of the Program at any time, including commission rates, payment terms, and these Affiliate Terms. Material changes will be communicated via email or through the affiliate dashboard with at least 14 days' notice before taking effect, except where immediate changes are required for legal or security reasons.
